Why Puerto Rico, Why Now

Durable Needs. U.S. Frameworks.

El Morro coast

Need Stack

Grid modernization, water security, workforce housing, logistics, and healthcare capacity gaps create durable demand.

U.S. Jurisdiction & Currency

Dollar-denominated assets under U.S. legal and capital-markets frameworks.

Federal Rebuild Backdrop

Ongoing federal recovery and infrastructure capital as context not a substitute for project economics.

Federal Opportunity Zones OZ 2.0

A Federal Tool, Applied Site by Site

IRC 1400Z-2 as amended. Planning summary only — not tax advice. Final designations and regulations control.

01

Rolling 5-Year Deferral

Post-1/1/2027 capital gains invested in a QOF may defer recognition for five years from investment.

02

5-Year Basis Step-Up

After five years: 10% basis step-up (30% if QROF / rural). Rural / QROF uplift is tract-specific and not assumed.

03

10-Year Exclusion

After ten years: FMV step-up election / exclusion of gain on the QOF interest, subject to an outer 30-year limit.

OZ 2.0 Map Reality

  • OBBBA / OZ 2.0 ended the all-island Opportunity Zone map.
  • New tracts: up to 25% of eligible LIC tracts (floor / rural set-aside apply).
  • Legacy Puerto Rico QOZs sunset December 31, 2027.
  • A 2026 zone designation does not guarantee a 2027 zone; site-level designation matters.
